Terms of Service

These Terms govern your access to and use of Gridmerce.

1. Acceptance of Terms

By creating an account, accessing, or using Gridmerce, you agree to these Terms of Service and our Privacy Policy.

If you do not agree with these Terms, you must not use Gridmerce.

2. Gridmerce

Gridmerce provides software tools for managing and preparing Shopify product data.

Features may include Google Sheets templates, CSV generation, image processing, Shopify metafield updates, product tag updates, file management, and related functionality.

We may modify, add, remove, or improve functionality over time.

3. Accounts

You are responsible for maintaining accurate account information and protecting access to your account.

You may authenticate using supported third-party authentication providers such as Google or, where available, using an email address and password.

You are responsible for activity performed through your account.

4. Shopify Stores

You may connect only Shopify stores that you own or are authorized to manage.

You are responsible for providing valid credentials and appropriate Shopify API permissions.

Operations initiated through Gridmerce may modify data in your Shopify store. You are responsible for reviewing important operations and maintaining backups where appropriate.

5. Google Services

Certain Gridmerce functionality requires connecting a Google account and granting access to supported Google Drive and Google Sheets functionality.

You may disconnect Google Drive at any time. Features that require Google Drive or Google Sheets may stop functioning until you reconnect.

6. Google Sheets Templates

Gridmerce may create standard or custom Google Sheets templates for connected stores.

Standard column names are used by Gridmerce to identify product information and should not be renamed unless the service explicitly supports such changes.

Changing, deleting, or renaming expected columns may result in incomplete data, failed processing, incorrect CSV output, or Shopify import errors.

Custom columns used for Shopify metafields must correspond to the metafields you intend to update.

7. CSV Generation

Gridmerce generates Shopify-compatible CSV files based on spreadsheet data and settings selected by you.

You are responsible for reviewing generated files before importing them into Shopify.

Generation time and output may depend on the number of products, variants, images, URLs, and selected processing options.

Gridmerce does not guarantee that Shopify will accept a generated file if the source data is invalid, incomplete, unsupported, or has been modified incorrectly.

8. Image Processing

Gridmerce may retrieve and process images from publicly accessible image and product URLs supplied by you.

You are responsible for ensuring that you have the necessary rights to use, process, transform, store, and publish the content you provide.

Image processing may include resizing, positioning, Cover or Contain modes, background modification, format conversion, optimization, and storage.

Private, inaccessible, invalid, expired, or unsupported URLs may fail to process.

Image previews may not exactly match final processed output.

9. Shopify Updates

Gridmerce may update Shopify information such as existing metafields and product tags based on data supplied by you.

Incorrect configuration, field names, data types, permissions, or Shopify API limitations may result in skipped or unsuccessful operations.

You are responsible for reviewing your Shopify configuration and source data before starting an update.

10. Credits

Certain Gridmerce operations may consume credits.

Unless otherwise stated, one successfully processed product image consumes one credit.

Purchased credits do not expire unless explicitly stated otherwise.

Free or promotional credits may be subject to additional restrictions.

11. Payments

Paid credit packages are one-time purchases unless explicitly stated otherwise.

Purchasing credits does not create a recurring subscription.

Prices, package sizes, currencies, and payment methods may change over time.

Payments may be processed by third-party payment providers.

12. Refunds

Except where required by applicable law, purchases of digital credits may be non-refundable after the credits have been credited to your account or consumed.

If you believe that a payment was processed incorrectly, contact us with the relevant transaction information.

13. Acceptable Use

  • Use Gridmerce only for lawful purposes.
  • Do not use stores, credentials, accounts, images, files, or other content that you are not authorized to access.
  • Do not attempt to bypass authentication, access controls, security mechanisms, or technical restrictions.
  • Do not use Gridmerce to distribute malware, unlawful material, or content that infringes third-party rights.
  • Do not intentionally interfere with the availability, security, or integrity of Gridmerce.

14. Your Content

You retain ownership of product information, spreadsheets, images, files, and other content that you submit or process through Gridmerce.

You grant Gridmerce the limited rights necessary to access, process, transform, store, and transmit that information solely to provide the service.

You represent that you have the rights and permissions necessary to use the content submitted to Gridmerce.

15. Third-Party Services

Gridmerce integrates with third-party platforms and infrastructure, including Shopify, Google, payment providers, hosting services, and storage providers.

We do not control third-party services and are not responsible for their availability, outages, API changes, policies, or actions.

Changes made by third-party providers may temporarily or permanently affect Gridmerce functionality.

16. Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation.

We may perform maintenance, modify functionality, introduce reasonable limitations, or temporarily suspend parts of the service when necessary.

17. Disclaimer

Gridmerce is provided on an "as is" and "as available" basis to the extent permitted by applicable law.

You are responsible for reviewing generated files, processed images, Shopify updates, and other results before relying on or publishing them.

We do not guarantee continued compatibility with Shopify, Google, or any other third-party platform.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Gridmerce and its operator will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service.

This includes loss of profits, revenue, business opportunities, goodwill, or data.

You are responsible for maintaining appropriate backups and reviewing operations before making important or irreversible changes to your Shopify store.

19. Suspension and Termination

You may stop using Gridmerce at any time.

We may restrict, suspend, or terminate access where reasonably necessary because of violations of these Terms, fraud, abuse, security risks, legal requirements, or material harm to Gridmerce or third parties.

20. Changes to These Terms

We may update these Terms from time to time.

The current version will be published on this page with a revised effective date.

21. Governing Law

These Terms are governed by the laws of Ukraine, except where mandatory applicable law provides otherwise.
